DonNe AI, Inc. Terms of Service

These Terms of Service (“Terms”) govern access to and use of the DonNe platform, applications, and related services (the “Service”) provided by DonNe AI, Inc., a Delaware corporation (“DonNe,” “we,” “us”). Our business address is 300 Creek View Road, Suite 209 Newark, Delaware. 19711.

By clicking “I agree,” creating an account, executing an Order Form, or using the Service, you agree to these Terms.

Current Terms URL. The current version of these Terms is available at /terms-of-service. DonNe maintains versioning and acceptance logs, including the Terms version presented at acceptance.

If you use the Service on behalf of an entity, you represent you have authority to bind that entity (“Customer”). If you purchase or use the Service as an individual for personal use, you are an “Individual Customer.”

1) Definitions

“Account” means an account registered to access the Service.

“Authorized Users” means Customer’s employees and contractors authorized to use the Service under Customer’s subscription.

“Beta Services” means any pre-release, beta, trial, experimental, or evaluation features, products, or services that DonNe makes available to you, which are identified as “beta,” “labs,” “preview,” “trial,” or similar.

“Customer Data” means data submitted to the Service by or on behalf of Customer, including imported contact/network data and network graph data, but excluding Outputs.

“Documentation” means DonNe’s published user guides and technical documentation for the Service.

“Email Metadata” means email header/metadata fields accessed via OAuth (e.g., sender, recipient, timestamps, subject lines, message IDs, and related routing fields), excluding email body content and attachments.

“Feedback” means suggestions, ideas, or other feedback you provide about the Service or Beta Services.

“Individual Customer” means a user who purchases or uses the Service for personal use and not on behalf of an entity.

“Order Form” means an ordering document, statement of work, online checkout flow, or other ordering instrument referencing these Terms.

“Output” means predictions, insights, recommendations, generated drafts, and other results produced by the Service.

“DonNe Generated Data” means any data, signals, scores, rankings, relationship graphs, features, inferences, or compilations generated by or through the Service, and any data derived from the Service’s models or workflows, excluding Customer Data in its original form.

“Raw Output” means Outputs or DonNe Generated Data provided in a format that is machine-readable, exportable at scale, or reasonably capable of being used to reconstruct a database (including bulk exports, list dumps, API pulls, or systematic extraction).

“Permitted Output” means Outputs made available for Customer’s internal business use in a manner that is not intended for bulk redistribution or database reconstruction (e.g., human-readable reports, limited exports, or in-product views), as further described in the Documentation.

“Third-Party Services” means third-party products, platforms, websites, APIs, or data services that interoperate with the Service.

“Third-Party Data” means any data, content, or materials accessed, retrieved, or received from Third-Party Services through the Service (including via API calls, connectors, or user-authorized integrations).

“Third-Party Licensed Data” means Third-Party Data that is subject to contractual restrictions imposed by the applicable Third-Party Service (including restrictions on use, storage, caching, redistribution, expungement, or model training).

Outputs. As between the parties, and subject to these Terms and applicable law, Customer owns all right, title, and interest in and to Outputs generated from Customer’s use of the Service. Customer is responsible for reviewing Outputs and determining how to use them, including for any recruiting or employment decisions.

Customer grants DonNe a non-exclusive, worldwide, royalty-free license to use Outputs (i) to provide, maintain, and support the Service, and (ii) in aggregated and/or de-identified form for analytics, benchmarking, and improving the Service and DonNe’s models, provided such use does not identify Customer or any individual and is not reasonably capable of re-identification. DonNe does not claim ownership of Customer’s pre-existing content or Customer Data used to generate Outputs.

2) The Service; AI and Predictive Disclosures

Probabilistic Outputs. The Service uses algorithms and statistical/ML techniques to generate Outputs, including forecasts of potential leadership vacancies and suggested outreach drafts. Outputs are probabilistic and may be inaccurate, incomplete, or not current. DonNe does not guarantee any predicted vacancy, career move, or opportunity will occur or be announced.

Human review required. You are responsible for independently evaluating Outputs before acting on them, including any generated email drafts.

No professional advice. Outputs are not legal, HR, employment, financial, or compliance advice.

2A) Beta Services

From time to time, DonNe may make Beta Services available to you. Beta Services are provided solely for testing, evaluation, and feedback purposes and may be made available to you for free or as part of your subscription. Access and Use. Subject to these Terms, DonNe grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Beta Services solely for internal evaluation (or, for Individual Customers, for personal, non-commercial evaluation). You will not (and will not allow others to) share, copy, modify, reverse engineer, or distribute any part of the Beta Services.

No SLA; Changes and Suspension.

Beta Services may be changed, suspended, or discontinued at any time without notice. DonNe has no obligation to release any Beta Services into production or to continue providing them. Confidentiality. You acknowledge that Beta Services and any related non-public information (including features, designs, and performance data) constitute DonNe’s Confidential Information.

In addition to Section 10, you agree not to disclose any such information to third parties and to use it only for your evaluation of the Beta Services.

Feedback. If you provide Feedback about the Service or Beta Services, DonNe may use it for any purpose without restriction or obligation, and you assign to DonNe all right, title, and interest in and to such Feedback.

Data and Privacy. DonNe may collect and process information you provide or connect in connection with Beta Services, which may include: (a) professional profile data from platforms you authorize (such as your name, job title, company, location, and network connections); (b) documents and résumé information that you upload or share within the platform; and (c) usage data, such as interactions, searches, and feedback, to help test and improve features and the overall experience. DonNe uses this information to operate, test, and improve the Beta Services and to develop insights about professional networking and opportunity discovery, consistent with DonNe’s Privacy Policy and, where applicable, the DPA. DonNe will not sell such data or share it with third parties for their own marketing purposes.

3) Availability (No SLA)

DonNe will use commercially reasonable efforts to make the Service available, excluding planned maintenance, emergency maintenance, and downtime caused by factors outside DonNe’s reasonable control (including internet or third-party service failures). Unless expressly agreed in an Order Form or separate service level agreement, DonNe does not provide service credits or downtime penalties.

4) Accounts; Authorized Users; Security

Account security. You are responsible for maintaining the confidentiality of credentials and for all activity under your Account.

Authorized Users. Customer is responsible for Authorized Users’ compliance with these Terms.

Notice of compromise. You will promptly notify DonNe of any suspected unauthorized access to the Service or your Account.

5) Orders; Fees; Renewal; Cancellation; No Prorations

Order Forms control. Fees, term length, plan limits, and features are set forth in the applicable Order Form.

Unless otherwise stated in an Order Form, B2B subscriptions are annual, paid upfront, and non-cancelable during the subscription term, subject to Customer’s termination rights under Section 12.

B2C recurring. Individual Customer subscriptions renew monthly or quarterly (as selected) until canceled.

Cancellation (B2C). Individual Customers may cancel at any time; cancellation is effective at the end of the then-current billing cycle (monthly or quarterly). Access remains active through the end of that billing cycle.

No prorated refunds; exception for cause. Except as required by law or expressly stated in an Order Form, fees are non-refundable and no prorated refunds or credits will be provided for any unused portion of a billing period. If Customer terminates these Terms or an Order Form for DonNe’s uncured material breach in accordance with Section 12, DonNe will refund any prepaid, unused fees for the terminated portion of the applicable subscription term as Customer’s exclusive remedy.

Auto-renewal. Subscriptions auto-renew unless either party gives notice of non-renewal at least 30 days before the end of the then-current term (or as stated in the Order Form).

Taxes. Fees exclude taxes; you are responsible for applicable taxes except those based on DonNe’s net income.

Late payments. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.

6) License Grant; Use Restrictions

License. Subject to these Terms and payment of fees, DonNe grants you a limited, non-exclusive, non-transferable right during the subscription term to access and use the Service (including any Beta Services made available to you) for your internal business purposes (or personal use for Individual Customers), in accordance with the Documentation. Restrictions. You will not (and will not allow others to): (a) reverse engineer, decompile, or attempt to discover source code (except where prohibited by law); (b) copy, modify, or create derivative works of the Service; (c) resell, rent, or provide the Service to third parties as a service bureau (unless expressly permitted in an Order Form); (d) interfere with the Service, bypass access controls, or conduct security testing without DonNe’s written consent; (e) use the Service to violate law, infringe rights, or send unlawful or deceptive communications.

Outputs / DonNe Generated Data Restrictions. Customer may use Outputs and DonNe Generated Data solely for its internal business purposes (or personal use for Individual Customers). Customer will not (and will not allow any third party to): (a) sell, resell, license, sublicense, distribute, publish, disclose, transfer, or otherwise make available any Raw Output or DonNe Generated Data to any third party as a standalone data set or data product; (b) use the Service, Outputs, or DonNe Generated Data to create, train, improve, or provide a database, enrichment product, org-chart product, relationship graph product, or other data service that is offered to third parties; (c) use the Service, Outputs, or DonNe Generated Data in a manner that circumvents any usage, export, rate-limit, or technical restrictions, including by systematic extraction. Notwithstanding the foregoing, Customer may share Permitted Output with its service providers solely to perform services for Customer, provided such service providers are bound by written confidentiality obligations and use restrictions no less protective than these Terms. Customer may also share Permitted Output with its end clients solely as part of Customer’s professional services, provided that such Permitted Output is not provided as a standalone dataset or data product and is subject to confidentiality obligations at least as protective as those in these Terms.

7) Network Ingestion; OAuth Email Metadata Access

OAuth authorization. If you connect an email account or workspace, you authorize DonNe to access and process Email Metadata via OAuth to map professional relationships and generate insights.

No email body content. DonNe does not access or process email body content or attachments unless explicitly enabled and agreed in writing (e.g., in an Order Form).

Rights and consents. You represent and warrant you have provided all required notices and obtained all necessary rights and consents to allow DonNe to process Email Metadata and related personal data (including for Authorized Users and connected mailboxes).

Third-party services and data sources. The Service may integrate with third-party email and identity providers, including Google Workspace/Gmail and Microsoft 365/Outlook, via OAuth. The Service may also allow you to upload data files (including CSV files) that you obtain from third-party sources, which may include professional networking platforms such as LinkedIn. Your use of any third-party services and your collection/export/upload of any third-party data are governed by those third parties’ terms and policies, and you are responsible for ensuring you have all necessary rights and permissions to provide such data to DonNe. DonNe is not responsible for third-party outages, changes, or suspension of access by those providers.

7A) Third-Party Services; Licensed Data Restrictions

Third-Party Terms Control. Your access to and use of any Third-Party Services and Third-Party Data is governed by the applicable third-party terms, policies, and license agreements. You represent and warrant that you have (and will maintain) all rights, permissions, and licenses required to connect to and use any Third-Party Services with the Service.

Professional Networking Platform Exports (e.g., LinkedIn). Customer acknowledges that data exported or downloaded from professional networking platforms (including contact lists, connection data, and message data) may be subject to contractual restrictions imposed by those platforms and/or third-party rights. Customer represents and warrants that its collection, export, upload, and use of any such data with the Service (including for outreach, analytics, or relationship mapping) complies with the applicable third-party terms and Applicable Law, and does not violate any third-party rights (including privacy, publicity, confidentiality, or intellectual property rights). DonNe may, in its discretion, restrict, disable, or remove access to such data or related features, or require additional confirmations, if necessary to comply with third-party terms, Applicable Law, or DonNe’s risk controls.

No Sublicensing of Third-Party Services. Customer will not use the Service to provide access to any Third-Party Service (including any third-party API) to any person or entity that is not authorized under Customer’s agreement with the applicable Third-Party Service. DonNe does not grant any rights to Third-Party Services or Third-Party Data and does not sublicense Third-Party Services.

Integration Restrictions. Certain Third-Party Services may prohibit (or restrict) embedding, integrating, or making their APIs or data available through another product or service. Customer acknowledges that DonNe may require Customer to connect Third-Party Services using Customer’s own account and credentials (or otherwise under Customer’s direct agreement with the applicable Third-Party Service), and DonNe may disable or limit any integration or feature if necessary to comply with third-party terms or DonNe’s agreements with such providers.

No Data Resale / Database Replication. You will not use the Service to resell, sublicense, redistribute, or make available Third-Party Data to any third party, or to create a standalone or searchable database that replicates or competes with a Third-Party Service.

No Scraping / Circumvention. You will not use the Service (or any automated means) to scrape, crawl, harvest, or extract data from any Third-Party Service, or to circumvent any access controls, rate limits, credit limits, or technical restrictions of any Third-Party Service.

Expungement and Deletion. Where Third-Party Licensed Data is subject to expungement, deletion, or retention limitations, you acknowledge and agree that DonNe may implement technical controls (including short-term caching, field-level storage restrictions, and deletion workflows) to comply with such requirements, and may delete or disable access to Third-Party Licensed Data or related features if required by third-party terms or by DonNe’s agreements with such providers.

Data Minimization for Third-Party Licensed Data. Customer acknowledges that, to comply with third-party restrictions (including restrictions on storing significant portions of content), DonNe may (i) limit the fields displayed, (ii) implement short-term caching and time-to-live (TTL) controls, and (iii) store only derived, non-reversible signals instead of raw third-party records.

Model Training Limitation for Third-Party Licensed Data. DonNe will not use Third-Party Licensed Data to train, fine-tune, or improve DonNe models where prohibited by the applicable third-party terms.

8) Data Residency; Hosting Location (United States Only)

US-only processing. Customer Data (including personal data ingested from emails) is stored and processed in the United States.

No regional residency (MVP). DonNe does not currently offer EU-only (or other regional) data residency. If Customer requires regional residency, it must be agreed in an Order Form (if available).

9) Customer Data; Privacy; DPA

Customer Data ownership. As between the parties, Customer retains all rights, title, and interest in and to Customer Data. Customer grants DonNe a non-exclusive, worldwide, royalty-free license during the term to host, copy, process, transmit, and display Customer Data (a) to provide, maintain, and support the Service, (b) to prevent or address service, security, and technical issues, and (c) as otherwise described in the DPA and Privacy Policy.

Third-Party Licensed Data Handling. Customer acknowledges that certain Customer Data or data displayed within the Service may include or be derived from Third-Party Licensed Data. DonNe may restrict storage, caching, export, and retention of such data and may store only derived or non-reversible signals, as necessary to comply with third-party terms.

DPA incorporated. To the extent DonNe processes personal data on Customer’s behalf, the parties agree to DonNe’s Data Processing Addendum (“DPA”), incorporated by reference. The DPA will control in the event of conflict regarding data protection.

Privacy Policy. Our Privacy Policy is available at /privacy-policy.

Security. DonNe will maintain administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, or alteration.

Subprocessors. DonNe may use subprocessors as described in the DPA and/or a published subprocessor list.

Model training and improvement. Customer acknowledges that DonNe may use Customer Personal Data for model training and improvement as described in the DPA, including to improve model performance, quality, and safety. For B2B Customers, an option to opt out of such training use is available upon written request as set forth in the DPA. DonNe will not sell Customer Data and will not use Customer Data in a manner that allows other customers to access Customer’s identifiable data.

Aggregated and de-identified data. DonNe may create and use aggregated and/or de-identified information derived from Customer Data for analytics, benchmarking, and improving the Service and DonNe’s models, provided such information does not identify Customer or any individual and is not reasonably capable of re-identification.

10) Confidentiality

Confidential Information. Each party may receive non-public information (“Confidential Information”), including the Service, Documentation, pricing, security materials, and Customer Data.

Protection. The receiving party will protect Confidential Information using at least reasonable care and use it only to perform under these Terms.

Compelled disclosure. If legally compelled, the receiving party will provide notice (if permitted) and cooperate to limit disclosure.

11) Intellectual Property; Feedback

DonNe IP. DonNe retains all rights in the Service, Documentation, and underlying technology, including models, workflows, and improvements.

Feedback. If you provide suggestions or feedback, DonNe may use them without restriction or obligation.

12) Term; Termination; Suspension

Term. These Terms begin upon acceptance and continue until all subscriptions expire or are terminated.

Termination for cause. Either party may terminate for material breach if not cured within 30 days after written notice (or 10 days for nonpayment).

Suspension. DonNe may suspend access if necessary to comply with law, address security risk or suspected abuse, prevent material harm to the Service or others, or address overdue fees, including suspected or attempted bulk extraction, resale, redistribution, or database replication of Outputs or DonNe Generated Data.

Effect of termination/expiration. Upon termination or expiration of all subscriptions, Customer’s access to the Service will cease. Upon Customer’s written request made within thirty (30) days after termination/expiration, DonNe will make available to Customer a one-time export of Customer Data in a commercially reasonable format, consistent with the Documentation and DPA. For clarity, DonNe’s data export obligation applies to Customer Data. DonNe is not required to provide a bulk export of DonNe Generated Data or Raw Output, and may provide Outputs only in a limited, human-readable, or otherwise commercially reasonable format.

After such 30-day period, DonNe may delete or anonymize Customer Data in accordance with its standard backup and retention policies, except to the extent retention is required by law or for legitimate business purposes (e.g., audit, billing, or dispute resolution), in which case DonNe will continue to protect such data as Confidential Information.

13) Warranties; Disclaimers

Authority. Each party warrants it has authority to enter into these Terms.

Limited performance warranty. DonNe warrants it will provide the Service in a professional and workmanlike manner consistent with the Documentation.

Disclaimer. EXCEPT AS EXPRESSLY STATED, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND DONNE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI disclaimer. DonNe does not warrant Outputs are accurate, complete, non-infringing, or suitable for any particular recruiting or employment decision.

Beta Services. You acknowledge that Beta Services may be incomplete, may not have been fully tested, and may contain bugs, errors, or other issues. ACCORDINGLY, BETA SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, AND DONNE WILL HAVE NO LIABILITY ARISING FROM OR RELATING TO YOUR USE OF BETA SERVICES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14) Limitation of Liability

No consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

Liability cap. EXCEPT FOR EXCLUDED CLAIMS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO DONNE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Excluded claims. The cap does not apply to:

(a) Customer’s payment obligations; (b) Customer’s violation of Section 6 (Use Restrictions); or (c) liabilities that cannot be limited by law. Notwithstanding the foregoing, each party’s aggregate liability for (i) its breach of Section 10 (Confidentiality) and (ii) its indemnification obligations under Section 15 will be subject to an increased cap equal to two (2) times the amounts paid or payable by Customer to DonNe under these Terms in the 12 months before the event giving rise to the claim.

15) Indemnification

By DonNe (IP). DonNe will defend Customer against any third-party claim alleging that Customer’s authorized use of the Service, as provided by DonNe and used in accordance with the Documentation, infringes a patent, copyright, or trademark, or misappropriates a trade secret of such third party, and will indemnify Customer from any damages and costs finally awarded against Customer (or agreed in a settlement approved by DonNe), subject to the limitations in Section 14, provided that Customer (a) promptly notifies DonNe of the claim, (b) gives DonNe sole control of the defense and settlement, and (c) provides reasonable cooperation at DonNe’s expense.

DonNe will have no obligation under this Section to the extent a claim arises from: (i) Customer Data or third-party services; (ii) combination of the Service with products, services, data, or processes not provided by DonNe; (iii) use of the Service not in accordance with the Documentation or these Terms; or (iv) modifications to the Service not made by DonNe. If the Service is, or in DonNe’s opinion is likely to be, the subject of an infringement claim, DonNe may (1) modify the Service so it is non-infringing and materially equivalent, (2) procure the right for Customer to continue using the Service, or (3) terminate the affected subscription and refund any prepaid, unused fees for the terminated portion of the applicable subscription term. THIS SECTION STATES DONNE’S ENTIRE LIABILITY AND CUSTOMER’S EXCLUSIVE REMEDY FOR IP INFRINGEMENT CLAIMS.

16) Compliance; Acceptable Use

Compliance. You are responsible for compliance with laws applicable to your recruiting, outreach, and employment practices (including privacy, anti-spam, and anti-discrimination laws).

No unlawful discrimination. You will not use the Service to engage in unlawful discrimination or prohibited profiling.

No abuse. You will not scrape or harvest data in violation of law or third-party terms, send spam or unlawful bulk outreach, or interfere with the Service or attempt unauthorized access.

17) Publicity

Customer references. DonNe may use Customer’s name and logo as a customer reference only with Customer’s written consent (or as specified in an Order Form).

18) Dispute Resolution (B2B) — Courts; Delaware Venue

This Section 18 applies to Customers that are entities (B2B), unless an Order Form states otherwise.

Governing law. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.

Venue. The parties agree to exclusive jurisdiction and venue in the state or federal courts located in Delaware.

Order Form override. If Customer requires a different governing law or venue (e.g., New York) for procurement reasons, the parties may specify it in the applicable Order Form, which will control for that Customer.

19) Dispute Resolution (B2C Only) — Mandatory Binding Arbitration; Class Action Waiver (AAA)

This Section 19 applies only to Individual Customers (B2C). It affects your legal rights, including your right to sue in court.

Informal Resolution First. Before initiating arbitration, you agree to notify DonNe of the dispute by emailing legal@donneai.com with (a) your name, (b) the email associated with your Account, (c) a description of the dispute, and (d) the relief you seek. The parties will attempt to resolve the dispute informally for 30 days.

Mandatory Binding Arbitration. Except for (i) claims that may be brought in small claims court (if eligible) and (ii) claims seeking injunctive or equitable relief for unauthorized access, misuse of the Service, or infringement/misappropriation of intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration and not in court.

Arbitration Administrator; Rules. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (and, where applicable, the AAA’s Supplementary Rules for Consumer-Related Disputes). The AAA rules are available at www.adr.org.

Location; Remote Hearings. Unless the parties agree otherwise, arbitration will take place in San Francisco, California, provided that either party may request (and the arbitrator may allow) arbitration to be conducted by video, telephone, or written submissions consistent with the AAA rules.

Individual Basis Only; Class Action Waiver. You and DonNe agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@donneai.com within 30 days of the date you first accept these Terms. Your notice must include your name and the email address associated with your Account and must clearly state that you wish to opt out of arbitration. If you opt out, this arbitration agreement will not apply to you, but the remainder of these Terms will remain in effect.

Severability. If any portion of this arbitration agreement is found unenforceable, the unenforceable portion will be severed and the remainder will be enforced to the maximum extent permitted by law. If the class action waiver is found unenforceable, then this entire arbitration agreement will be null and void to the extent required by applicable law.

20) Changes to Terms or Service

Service updates. DonNe may change its pricing and subscription plans from time to time. Any price increase for a renewal term will be communicated to Customer at least thirty (30) days before the end of the then-current term and will apply beginning with the next renewal term. If Customer does not agree to the price increase, Customer may elect not to renew by providing notice of non-renewal in accordance with Section 5.

Terms updates; versioning. DonNe may update these Terms; material changes will be communicated and may require re-acceptance. DonNe maintains versioning and acceptance logs, including the Terms version presented at acceptance.

21) General

Assignment. Neither party may assign without the other’s consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets (with notice).

Entire agreement; precedence. These Terms, the Order Form(s), the DPA, and incorporated policies are the entire agreement. In conflict: Order Form → DPA (for data protection) → Terms → policies.

Severability; waiver. If any provision is unenforceable, it will be modified to reflect the parties’ intent to the maximum extent permitted by law. Waiver must be in writing.

Notices. Notices must be in writing and will be deemed given when delivered by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier to the applicable party at its address set forth in the Order Form (or, for DonNe AI, Inc. at 300 Creek View Road, Suite 209. Newark, Delaware 19711), with a copy to legal@donneai.com.
